These terms govern your organisation's use of Stellium, the online finance and operations software available at stellium-erp.com ("Stellium", "we", "us"). By creating an account or using the service, you agree to these terms on behalf of your organisation.
1. Your account
You must provide accurate details when you register and keep them up to date. You are responsible for everyone you invite to your organisation's account, for the permissions you give them, and for keeping sign-in details secure. Tell us promptly if you suspect unauthorised access.
2. Free trial and subscriptions
New organisations may use Stellium free of charge for the trial period shown at sign-up. After the trial, continued use requires a paid subscription on one of our published plans, billed monthly or yearly in Kenya shillings. Invoices are issued before each renewal. If an invoice is not paid by its due date, access may be restricted until payment is received; your data is not deleted because of a late payment.
3. Your data
The financial, payroll, member and other records you enter remain yours. You grant us only the rights we need to host, process, back up and display that data in order to provide the service to you. We handle personal data as described in our privacy policy.
4. Acceptable use
You agree not to misuse the service. This includes attempting to access another organisation's data, interfering with the service's security or performance, using it to process payments you are not authorised to receive, or using it for any unlawful purpose.
5. Payments and third parties
Features such as M-Pesa giving rely on services provided by third parties, including Safaricom. Your use of those services is also subject to the provider's own terms, and we are not responsible for their availability or for funds held by them.
6. Payroll and compliance
Stellium calculates statutory deductions from the rates configured in the system. You remain responsible for reviewing payroll before approving it, for filing returns and remitting deductions to the relevant authorities, and for the accuracy of the employee information you provide.
7. Availability and changes
We work to keep Stellium available and secure, and we back up data regularly. We may improve or change features over time. If we make a material change to these terms, we will notify account administrators before it takes effect.
8. Ending your subscription
You may stop using Stellium at any time. On request, we will provide an export of your organisation's data before your account is closed.
9. Liability
To the extent permitted by law, our total liability arising from the service is limited to the fees your organisation paid in the twelve months before the claim. We are not liable for indirect or consequential losses.
10. Governing law
These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute.
